Welcome to MADEBYREKO STUDIO! These terms and conditions outline the guidelines and agreements for utilizing our audio, video, and artwork services. By engaging our services, you agree to comply with and be bound by the following terms.

1. General Terms & Conditions

These terms apply across all services offered by MADEBYREKO STUDIO unless otherwise specified in the service-specific sections below.

1.1 Pricing & Negotiation

All prices listed in the separate Rate Chart document are starting points and may be subject to change based on the complexity, scope, and specific requirements of your project.
Prices for services listed as “ask to contact” will be provided after a consultation and assessment of your needs.
Negotiation on pricing may be possible depending on the project specifics, genre, and additional requested services or revisions.

1.2 Timelines & Delivery

Timelines provided are estimates and may vary depending on the complexity of the project, current workload, and client responsiveness.
Specific delivery times will be discussed and agreed upon during the project consultation phase.
We will deliver final files in agreed-upon formats (e.g., WAV, MP3, JPEG, PNG, MP4) upon completion and final payment.

1.3 Revisions

The number of revision rounds included in tiered services is specified in the Rate Chart or agreed upon during the project consultation.
Additional revisions beyond the included rounds may be subject to extra charges, typically billed at the applicable hourly rate for the service.
Excessive revisions may also incur additional charges. We encourage clear communication throughout the process to minimize the need for extensive revisions.

1.4 Client Responsibilities

Clients are responsible for providing all necessary materials (e.g., audio stems, video footage, reference tracks, logos, specific instructions) in a timely manner and in the required formats.
For audio services, clients are responsible for providing well-recorded and balanced tracks. Tracks with excessive noise or poor recording quality may require additional processing time and may incur extra charges.
Clear and open communication from the client is crucial for a smooth and successful project. Prompt feedback on drafts and updates is expected.

1.5 Payment Terms

Deposit: A non-refundable deposit, typically 50% of the estimated project cost, is required before the commencement of any project. Work will begin only after the deposit is received.
Final Payment: The remaining 50% of the project cost, plus any additional charges incurred (e.g., for extra revisions or services), is due upon completion of the project and before the delivery of final files.
Hourly Services: For services billed hourly, payment may be required periodically (e.g., daily or weekly) or upon completion, as agreed upon before the service begins. Full payment for hourly work is required before the release of any completed files or project assets.
Accepted Payment Methods: Details on accepted payment methods will be provided during the project consultation.
Net-30 Terms: At the discretion of MADEBYREKO STUDIO, and subject to a separate agreement, corporate clients or long-term clients in good standing may be eligible for Net-30 payment terms. Net-30 terms mean that the client agrees to pay the full invoice amount within 30 days of the invoice date. MADEBYREKO STUDIO reserves the right to revoke Net-30 terms if payments are not received within the agreed-upon timeframe. Invoices not paid within 30 days of the invoice date will accrue a late payment interest charge of 2% per month on the outstanding balance until paid in full.

1.6 Ownership & Usage Rights

Ownership and usage rights for the final deliverables will be specified in the project agreement or based on the licensing terms for Music Production (as outlined in Section 3.2).
Unless otherwise agreed, “MADEBYREKO STUDIO” retains the right to use completed projects for portfolio and promotional purposes.

1.7 Cancellations & Refunds

Cancellation policies will be discussed and agreed upon before the commencement of the project. The 50% deposit is non-refundable once work on the project has commenced. Refunds for other payments are generally not provided for work already completed. Any potential refunds or adjustments will be handled on a case-by-case basis.

1.8 Confidentiality

MADEBYREKO STUDIO agrees to keep all client project details and materials confidential.

1.9 Use of Services

You agree to use our services only for lawful purposes and in accordance with these terms and conditions.
You must not misuse our website or services, including interfering with the operation or security of our systems or attempting to gain unauthorized access.

1.10 Limitation of Liability

MADEBYREKO STUDIO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; or (d) unauthorized access, use, or alteration of your transmissions or content.
In no event shall the aggregate liability of MADEBYREKO STUDIO for all claims relating to the services exceed the amount you paid MADEBYREKO STUDIO for the services in question.

1.11 Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India.
Any disputes arising out of or relating to these terms or the use of our services will be subject to the exclusive jurisdiction of the courts in Kalyan, Maharashtra, India.

2. Mixing & Mastering Terms & Conditions

This section outlines terms specific to Mixing and Mastering services.

Clients are responsible for providing audio stems that are properly labeled, organized, and free from excessive noise or clipping.
Specific requirements regarding file formats, sample rates, and bit depths will be communicated before the project begins.
Revisions for mixing and mastering are subject to the general revision policy outlined in Section 1.3.

3. Music Production Terms & Conditions

This section outlines terms specific to Music Production services, including licensing and royalty splits.

3.1 Music Production Process

Clients should provide a clear reference track or detailed description of their musical vision, including desired instrumentation, arrangement complexity, and desired effects.
Communication and feedback throughout the production process are essential.

3.2 Licensing and Rights

Non-Exclusive License: Grants the artist and others the right to purchase and use the beat commercially. MADEBYREKO STUDIO retains ownership of the master recording and publishing rights, licensing its use to multiple parties.
Exclusive License: Grants the artist the sole right to purchase and use the beat commercially. The specific terms of the exclusive license, including buy-out options or limitations, will be outlined in a separate agreement.
Resale Prohibition: Regardless of the license type (Non-Exclusive or Exclusive), clients are strictly prohibited from reselling the beat itself. The purchase grants usage rights within a musical composition, not ownership of the underlying instrumental track for redistribution or sale as a standalone beat.

3.3 Royalty Splits

Royalty splits for Music Production services vary depending on the specific service engaged:

Music Production HOURLY: 50% split on publishing royalties and 20 points on master royalties for the producer (MADEBYREKO STUDIO).
Music Production Exclusive Indie Advance: 50% split on publishing royalties and 20 points on master royalties for the producer (MADEBYREKO STUDIO).
Music Production Exclusive Signed Advance: 50% split on publishing royalties and 10 points on master royalties for the producer (MADEBYREKO STUDIO).

Specific details regarding royalty collection and administration may be outlined in a separate agreement.

4. Video Services Terms & Conditions

This section outlines terms specific to Video Editing and Video Shoot services.

4.1 Video Editing

Clients are responsible for providing all necessary video footage, audio files, graphics, logos, and specific instructions in a timely manner and in the required formats.
Specific requirements regarding file formats, resolutions, and frame rates will be communicated before the project begins.
Revisions for video editing are subject to the general revision policy outlined in Section 1.3.

4.2 Video Shoot (Labour Fee Only)

Service Provided: This service covers the labour fee for the videographer’s time on location only, at a rate of ₹2,500 per hour.
Exclusions: This labour fee EXCLUDES all other costs associated with the video shoot, including but not limited to:

Travel expenses (transportation, accommodation, per diem)
Equipment rentals (cameras, lenses, lighting, audio gear, etc.)
Additional personnel fees (assistants, grips, stylists, etc.)
Location fees or permits
Food and beverages
Any other production-related expenses

Client Responsibility: The client is solely responsible for arranging and covering all excluded costs.
Minimum Booking: A minimum booking duration may apply and will be communicated during the consultation.
Overtime: Overtime rates may apply for shoots exceeding the agreed-upon duration and will be specified in the project agreement.

5. Artwork Services Terms & Conditions

This section outlines terms specific to Artwork services.

Clients are responsible for providing all necessary images, logos, text, and specific design instructions.
Specific requirements regarding file formats, dimensions, and resolution will be communicated before the project begins.
Revisions for artwork are subject to the general revision policy outlined in Section 1.3.
For Animated Visualizers, clients must provide the final audio track.

By proceeding with services from MADEBYREKO STUDIO, you acknowledge that you have read, understood, and agree to these Terms & Conditions.

Changes to Terms and Conditions

We may update these terms and conditions from time to time. Any changes will be posted on this page with an updated effective date.
